Terms & Conditions
SouleWork, Artisan Furniture, a Rhode Island LLC, located at 95 Hathaway St. Suite 35, agrees to sell the products to the Customer on the terms and conditions set forth below. Payment of a SouleWork Quote, Pro Forma, Invoice, or online order constitutes a legally binding contract with SouleWork to these terms and conditions.
ORDERS AND PAYMENTS
We accept credit card, check, money orders, and wire transfer. SouleWork requires payment in order to begin an order. Projected lead times do not begin until payment is received and, in the case of custom orders, the lead times do not begin until payment as well as all design decisions have been finalized. For orders under $2,500.00USD, payment in full is required. For orders over $2,500.00USD, a 50% deposit is due to begin the order with the remaining balance due upon the Customer being notified that the products are ready for shipping. Payment is due upon receipt of invoice even if the Customer is not prepared to receive the shipment. In these cases SouleWork, at its sole discretion, can elect to assist the Customer by storing the product until the Customer is ready to receive said shipment.

Customer agrees to pay a finance charge in the amount of 3% of the outstanding balance on any invoice not paid within 30 days.

An additional 3% fee is applied to all Wholesale Account orders paid by credit card.

For payments by wire transfer or money order, please contact us for wiring information. For domestic wire transfers a fee of $15.00 will be applied to each transfer under $500.00. All outgoing wire transfer fees are additionally the responsibility of the Customer.
SouleWork ships outside of the US on a case-by-case basis. Please contact SouleWork for more information regarding international orders. SouleWork accepts only credit card or wire transfer for international orders. An additional 1% order fee will be applied for all sales paid for with an international credit card. For international wire transfers a fee of $45.00USD will be applied to each transfer under $1,500.00USD. All outgoing wire transfer fees, both domestic and international, are the responsibility of the Customer. Customer is additionally responsible for payment of all customs and duty fees. SouleWork does not accept international checks.
LEAD TIME AND RUSH ORDERS
Each piece is made-to-order with lead times ranging from 2-12 weeks from the date of payment, depending on the product, quantity, and any customization requested. Let us know if you require expedited shipping. Expedited shipping or orders placed with a ‘rush’ are granted on a case-by-case basis and are subject to additional fees. Custom orders may require additional lead time.

CUSTOM ORDERS
SouleWork is able to make custom modifications to many of our pieces. We are happy to discuss custom work, lead times, and related charges. Custom order products are expressly made to meet the Customer’s unique specifications. Accordingly, all custom order products are sold as a final sale and no returns will be accepted.
ORDER MODIFICATIONS AND CANCELLATIONS
Each piece is made-to-order. Commencement of manufacturing generally begins within 24-48 hours of payment.
Order modifications by the Customer before the commencement of the manufacturing process are not subject to a modification fee. Order modifications after the commencement of the manufacturing process are subject to a modification fee covering any expenses expelled by SouleWork to fulfill the original order.

Orders canceled by the Customer before the commencement of the manufacturing process are not subject to a cancellation fee. Orders canceled after the commencement of the manufacturing process are subject to a cancellation fee covering any expenses expelled by SouleWork to fulfill the order. In the rare occasion that SouleWork already has a product stocked and boxed, order cancellation will not be subject to a cancellation fee, prior to shipping.
RETURNS AND EXCHANGES
Because our pieces are handcrafted and bespoke, returns and exchanges are not accepted for any reason other than shipping damage and warranty claims. Damage claims must be reported within 72 hours of package arrival. Please inspect your purchases immediately upon receipt, as no claims can be made after this time. Damaged items may be exchanged after claims have been processed.
INSPECT UPON RECEIPT – Packages must be inspected immediately upon delivery. Failure to report damage within 72 hours of delivery may result in a denied claim.
APPARENT DAMAGE – Should visual inspection upon the receipt of a shipment show damage, shipment should NOT be accepted. Damage must be noted on the delivery receipt and signed by both you and the driver. Failure to do so may result in both SouleWork and the carrier refusing to honor a claim.
CONCEALED DAMAGE – When damage is not apparent until the product is unpacked, then a claim for concealed damages must be made within 72 hours of delivery. Retain all packing materials and notify carrier that you wish an inspection report be made.

WARRANTY
SouleWork warrants to the Customer that the manufactured goods are first rate and free from defects in workmanship and materials, under normal use and service. For manufactured products that are defective or damaged due to faulty workmanship, SouleWork's sole obligation under this express warranty shall be, at SouleWork's option and expense, to repair the defective product or part, deliver to Customer an equivalent product or part to replace the defective item, or if neither of the two foregoing options is reasonably available, SouleWork may, in its sole discretion, refund to Customer the purchase price paid for the defective product. All products that are replaced will become the property of SouleWork, and at SouleWork's request must be returned to SouleWork in the shape that they were received by the Customer. This warranty does not cover any damage caused by accident or misuse occurring after such product is delivered including, but not limited to, improper installation.
SHIPPING AND HANDLING
SouleWork will ship products in accordance with instructions provided by Customer, using shipping companies and freight forwarders deemed reliable by SouleWork and based on, among other things, the destination, weight, and package dimensions. If Customer notifies SouleWork that Customer wishes to arrange for shipping and delivery, Customer may specify a preferred carrier and provide Customer’s account information for direct billing by carrier to Customer. In such event, Customer is fully responsible for tracking, damage claims, and insurance, and SouleWork shall have no liability after the product has been picked up by Customer’s carrier. SouleWork reserves the right to refuse to permit Customer to arrange for shipping if in the opinion of SouleWork the products are suitable for shipping only by a SouleWork-specified shipper due to dimensions, fragility, or other reasons. All fees for failed deliveries due to fault of Customer or the product recipient are non-refundable. Unless expressly provided, delivery charges do not include charges for liftgate service, inside delivery, unpacking, placement, installation, and debris removal.

SouleWork attempts to give accurate estimates of anticipated delivery dates. Actual delivery dates may be subject to circumstances beyond SouleWork's control, including delays caused by government inspections, shipping, and other circumstances. It is Customer’s responsibility to alert SouleWork of any changes to shipping addresses that occur during the production lead time.

CUSTOMER RESPONSIBILITY
The Customer is responsible for ensuring that the product will fit through elevators, stairwells, corridors, doorways and any other potential obstructions to its final destination. SouleWork will not issue refunds in the event that the product does not fit into your space. Dimensions can be found on the product specification sheets available on each product page. Please ask if you are unsure. Additional information can be provided upon request.
FINISHES AND FINISH VARIATIONS
We encourage customers to acquire our finish samples to verify that the finishes will meet their project needs. Because our pieces are handcrafted and bespoke returns and exchanges are not accepted for any reason other than shipping damage and warranty claims.

Wood is a natural material and the grain characteristics and color will vary from piece to piece. The grain and color may also vary from samples.
​
Hand-applied patina finishes contain natural variations and will gain more character with age.
HOLIDAYS AND EXTENDED LEAD TIMES
The SouleWork team takes a holiday break from mid-December to early January. Due to our production lead time, orders intersecting these dates will experience an additional 3 week lead time.
FORCE MAJEURE
SouleWork shall not be liable to the Customer or deemed to be in default for any delay or failure in performance resulting directly or indirectly from acts of God, civil or military authority, acts of terrorism, war, riots, civil disturbances, accidents, fire, explosions, earthquakes, floods, the elements or any other cause beyond the reasonable control of SouleWork.
DISPUTES
The parties consent to the jurisdiction of the state of Rhode Island, with respect to any disputes concerning the interpretation or performance of this Agreement. In the event that SouleWork commences any action or proceeding in order to enforce the terms of this agreement, it shall be entitled to recover, in addition to any damages and other relief, its costs and attorneys’ fees expended to the extent that it prevails in such action or proceeding.
THIS AGREEMENT
This agreement may not be modified or amended except by an instrument in writing signed by the parties hereto. No omission or delay by either party in requiring due and punctual fulfillment by the other in its obligations hereunder shall be deemed to constitute a waiver. This agreement presents the entire understanding of the parties. There are no representations, promises, warranties, covenants or undertakings other than those expressly set forth herein. If, for any reason, any provision of this agreement is held invalid in whole or in part, such invalidity shall not affect any other provision of this agreement, and shall to the full extent consistent with law continue in full force and effect. This agreement has been executed and delivered in the state of Rhode Island, and its validity, interpretation, performance and enforcement shall be governed by the laws of the state of Rhode Island, without regard to principles of conflicts of law.
All notices which either party is required or may desire to give to the other party shall be given by overnight courier (next day delivery) or registered mail.
